According to the sports reporter of Tasnim News Agency, the members of the Football Federation Assembly today (Tuesday, June 4) agreed with the majority of votes to remove Mehrdad Seraji from the board of directors of the Football Federation.
Due to the temporary dismissal of Shahabuddin Azizi Khadem and the illegality of Hamid Reza Mehr Ali and Haidar Baharvand, the first and second vice presidents of the football federation, the three posts of the board had previously been vacated. Following the events, Shohreh Mousavi, the third vice president of the federation, was arrested so that the board of directors would be in uncertainty.
Due to the dismissal of Mehrdad Seraji and the dismissal of four members of the Board of Directors and the indecision of another member, Shohreh Mousavi, 5 out of 11 members of the Board of Directors are not eligible to attend the Board meetings. However, elections for the president and vice-president of the Football Federation are scheduled for September 29. Due to the dismissal of Mehrdad Seraji, a member of the board who represents the CEOs of the clubs must become a member of the board in the next election assembly.
In the meantime, the issue of whether or not to recognize the meetings of the board of directors until the elections are held has been raised, and there have been contradictory talks. According to paragraph 1 of Article 36 of the Articles of Association, “the meeting of the Board of Directors is formal if at least two thirds of the members of the Board of Directors are present.” Accordingly, 8 of the 11 members of the Board of Directors of the Football Federation must be present at the meetings until the quorum of at least two thirds of the members is formed and the meeting of the Board of Directors is formalized.
The members of the Football Federation are currently Mirshad Majedi, Khodadad Afsharian, Tahmours Heidari, Ahmad Reza Barati, Ehsan Osuli, Bahram Rezaian and Seyedeh Shohreh Mousavi. However, even with Mousavi online presence at the board meetings, the number of members present at the meeting will still reach 7, and it is not possible to make a decision with the presence of this number, which is less than two thirds of the board members.
Now we have to refer to paragraph 7 of Article 33 of the Statute of the Football Federation, which refers to the election of a replacement person or persons for vacant positions in the Board of Directors. According to this clause, “If one of the posts or up to 50% of the posts of the Board of Directors becomes vacant, the Board of Directors shall replace another person / persons to hold the said post until the next General Assembly is held to replace the next person / persons in the next meeting.” “To be elected for the remaining term.”
Therefore, since the alternate person or persons in the vacant positions of the Board of Directors must be elected by the Board, this possibility is not possible until the next election assembly of the Football Federation. The Board of Directors does not have the necessary preconditions for this, which is to hold a meeting of the Board of Directors with at least two thirds of the members, and therefore it is not possible to elect a person or persons for vacant positions on the Board of Directors.
Thus, it can be said that until September 29 and the holding of an extraordinary election assembly in which the chairman, vice chairman and a member of the board are elected by the assembly, the board has no legal authority to convene official meetings and make decisions for the football federation. Will be only informal. Since the date of the elections has been approved by the assembly and the assembly has delegated it from the federation’s budget to the head of the federation to spend it, there will not be much of a problem for the federation’s performance.
